SFS takeover bid for Triena reaches 84.17%

The public offer bid submitted by SFS Group Public Company Ltd for Triena Investments Public Company Ltd has been concluded successfully considering that after the lapse of the offer, the total stake of SFS in Triena is 84.17%. The offer expired on October 31, 2007 and was for a minimum 50% and maximum 100%.

The total percentage of acceptance by the shareholders of Triena reached 22.12% (1,509,200 shares) of which 252.137 or 18.48% refer to TINT, 615.665 or 22.56% for TINC and 641.398 shares or 23.5% for TCAP.

 The percentage of acceptance of the Public Offer together with the 29.77% that SFS already held in the total issued share capital of Triena and the irrevocable commitments that it has secured from the shareholders of Triena increase the stake of SFS to each class of shares as follows, in TINT to a total of 1.019.847 shares or 74.74% stake, in TINC to 2.275.092 shares or 83.37% of the capital and in TCAP to 2.447.563 shares or 89.69% of the capital for a total combined stake of 5.742.502 shares representing 84.17% of the capital.

The deal value according to Financial Mirror calculations amounts to EUR 1.27 mln for TINC at the price of EUR 0.9140, a value of EUR 570.000 at the price of EUR 0.7123 for TINT and a value of EUR 2.45 mln at EUR 3.1789 per TCAP share for a total combined value of EUR 6.67 mln.
